C corporation

A C corporation pays tax on its own income at the corporate rate, and shareholders pay again on dividends. It is the structure for venture-backed startups, companies with foreign owners, and businesses that qualify for the Section 1202 exclusion.

How it works

Form 1120 is due April 15 for calendar-year companies. Foreign-owned corporations have Form 5472 obligations. Losses stay in the corporation rather than passing to owners.

Why it matters

The double tax is real, but the flat corporate rate, retained earnings, and the qualified small business stock exclusion make it right for some businesses. Qualified small business stock.
